Director, Transaction Structuring – Job Ad

Location: 250 Yonge Street, Toronto ON (hybrid – min. 3 days per week in office)

Salary: Based on the salary band for this role, candidates can expect to be offered a starting salary in the range of $125,000 - $150,000

Are you an experienced people leader with a background in transaction structuring and commercial negotiations? Invest Ontario is looking for a Director, Transaction Structuring to join the Strategies and Business Solutions team in this exciting, newly created position. development and maintenance of key business relationships?

This critical role, reporting to the Vice President Strategies and Business Solutions, will lead a team with a functional expertise in transaction structuring to position IvO as the commercial center of excellence for executing incentive transactions, for creating customized investment solutions that respond to the unique requirements of investors, and use novel transaction strategies to increase Ontario’s competitiveness and positioning as a top tier destination for domestic and global investment.

The ideal candidate will be responsible for:

  • Contributing to the IvO strategy and development of tactics; and providing leadership in executing programs, services, or initiatives to deliver on the strategies
  • Providing transaction structuring expertise and advice to IvO management and staff in response to issues and risks to achieving IvO’s mandate, providing evidence-based recommendations for change.
  • Leading the interface with internal and/or external legal support to draft both binding and non-binding transaction documentation including Letters of Intent, term sheets, and definitive/binding transaction documentation.
  • Managing transaction closing processes including securing necessary transaction documentation, closing-out conditions precedent, and securing the necessary approvals and signatories to close.
  • Leading the identification and implementation of new financial instruments that IvO can make available to investors, ensuring that necessary feasibility, financial, risk, and policy analyses are performed in support.
  • Working closely with the Business Intelligence & Transaction Analytics function to perform return on investment and value for money modeling; accurately reflecting the contemplated transaction structure and incentive instruments while working collaboratively to improve the underlying calculation methodologies.
  • Working with the Vice President, Strategies and Business Solutions in developing the department’s operational plans and the development and reporting on performance metrics, program effectiveness, risks and impacts related to the transaction structuring function.

The ideal candidate:

  • Is a strong leader with experience championing change, organizational culture and vision.
  • Has experience working in and leading a small-team in a start-up/early-stage environment.
  • Skills and ability to manage and champion change for a new organizational culture and vision.
  • Leadership skills to build a new organizational structure, systems, and standards.
  • Knowledge and expertise driving successful project and investment outcomes.
  • Excellent relationship management skills with the ability to collaborate with a diverse group of stakeholders across the organization.
  • Consultative approach to planning and problem solving.
  • Excellent verbal and written communication skills to effectively engage with senior internal and external stakeholders and the ability to simplify complex topics for delivery to different audiences.
  • Has a university degree in Economics, Business Administration, Finance or related field.
  • Has 10 years' experience in a leadership role providing direction and oversight in international and domestic global investment attraction, external/stakeholder relations and/or sales is preferred.
