ABOUT THE OPPORTUNITY:

The Director, Transaction Structuring is accountable for providing leadership in transaction structuring, commercial negotiations, managing the drafting of transaction agreements (binding and non-binding), closing activities and coordination, development of new IvO incentive instruments, and creating new capital partnerships leveraging the IvO fund for improved investment attraction outcomes for the province.

Working together with the other Investment Structuring business units and the Business Development team at IvO, the Director, Transaction Structuring will establish and lead a team with a functional expertise in transaction structuring to position IvO as the commercial centre of excellence for executing incentive transactions, for creating customized investment solutions that respond to the unique requirements of investors, and use novel transaction strategies to increase Ontario’s competitiveness and positioning as a top tier destination for domestic and global investment.

SUMMARY OF JOB RESPONSIBILITIES:

  • As a member of the IvO leadership team, contributes to the IvO strategy and development of tactics; and provides leadership in executing programs, services, or initiatives to deliver on the strategy.
  • Provides transaction structuring expertise and advice to IvO management and staff in response to issues and risks to achieving IvO’s mandate, providing evidence-based recommendations for change.
  • Leads the interface with internal and/or external legal support to draft both binding and non-binding transaction documentation including Letters of Intent, term sheets, and definitive/binding transaction documentation.
  • Is responsible for managing transaction closing processes including securing necessary transaction documentation, closing-out conditions precedent, and securing the necessary approvals and signatories to close.
  • Leads the identification and implementation of new financial instruments that IvO can make available to investors, ensuring that necessary feasibility, financial, risk, and policy analyses are performed in support.
  • Works closely with the Business Intelligence & Transaction Analytics function to perform return on investment and value for money modeling; accurately reflecting the contemplated transaction structure and incentive instruments while working collaboratively to improve the underlying calculation methodologies.
  • Ensures that transactions receive appropriate internal IvO approvals and works with the Ministry to secure external transaction approvals as required.
  • Ensures that IvO service standards are met or exceeded for transaction turnaround time and time to close.
  • Oversees the development, implementation, and continuous improvement of transaction structuring programs and services, including strategies, plans, methods, tools, and processes to meet the overall strategic plans and priorities of IvO.
  • Plans and manages the delivery of transaction structuring activities, ensuring consistency with overall department performance measures, standards, and best practices and integration with overall IvO directions.
  • Works with the Vice President, Strategies and Business Solutions in developing the department’s operational plans and the development and reporting on performance metrics, program effectiveness, risks and impacts related to the transaction structuring function.
  • Manages the department and its staff to support an environment and culture of service excellence which respects diversity, encourages all employees to work together to achieve results and contribute to a healthy, rewarding, and productive working environment where personal and team accountability are key to meeting the mandate of IvO. Accountable for building a strong team including hiring, orienting, and training of staff, determination of performance standards and conduct of performance reviews, managing employee relations matters.
  • Champions and leads critical change and a new collaborative, forward thinking culture within the department, and works with others to achieve this across the organization.
  • Promotes and drives innovation and continuous improvement throughout the department and across IvO related to transaction structuring programs, services, and initiatives.
  • Leads and/or participates on projects within the organization to represent the department’s interests in transaction structuring decision making.
  • Develops and manages relationships and consultation with stakeholders impacted by the department’s programs, services, and initiatives to identify trends, issues, and needs.
  • Works in collaboration with colleagues on department priorities for IvO.
  • Develops collaborative partnerships and strong working relationships with senior officials in the OPS, other government jurisdictions and other public and private sector organizations to liaise with on investment, transaction structuring and financial incentive matters.
  • Acts on behalf of a senior executive as required.

REQUIRED QUALIFICATIONS:

Education and Experience

  • Degree in Economics, Business Administration, Finance, or related field.
  • 10 years’ experience in a leadership role providing direction and oversight in a transaction execution capacity (private equity, investment banking, project finance, transaction advisory, or similar) and experience structing both equity and debt agreements.
  • Experience working and leading a small team in an early stage/start-up environment and working in or with government.
  • Experience in global and/or domestic investment attraction an asset.
